Terms of Service

By engaging Acutus Digital Dynamics ("Company", "we", "our", or "us") for any of our services, or by accessing our website at acutusdigitaldynamics.com, you ("Client" or "you") agree to be bound by these Terms of Service ("Terms").

Please read these Terms carefully before engaging our services. If you do not agree to any part of these Terms, please do not use our services. These Terms apply to all clients and visitors who access or use our services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued engagement of our services following any changes constitutes your acceptance of the revised Terms.

Acutus Digital Dynamics provides digital marketing and online growth services to businesses and organisations. Our services include, but are not limited to:

• Website Design and Development
• Search Engine Optimisation (SEO)
• Local SEO and Google Business Profile Management
• Paid Advertising (Google Ads, Meta Ads)
• Website Maintenance and Support
• Monthly SEO Retainer Management
• Conversion Rate Optimisation and Lead Generation

The scope, deliverables, timeline, and pricing for each engagement will be set out in a separate written proposal, statement of work, or service agreement ("Project Agreement"). These Terms apply in conjunction with any such Project Agreement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to the Client.

To enable us to perform our services effectively, you agree to:

• Provide timely, accurate, and complete information, materials, and access credentials required for us to deliver the agreed services.
• Review and approve deliverables within the timeframes specified in the Project Agreement. Delays caused by late approvals may affect project timelines.
• Ensure that all content, images, logos, and other materials provided to us do not infringe upon any third-party intellectual property rights.
• Designate a primary point of contact who has authority to make decisions on your behalf.
• Comply with all applicable laws, including those relating to data protection, advertising standards, and consumer rights.
• Not use our services for any unlawful, deceptive, or harmful purpose.

Failure to fulfil these responsibilities may result in delays to project delivery for which we shall bear no liability.

Unless otherwise agreed in writing, the following payment terms apply to all our services:

• Invoicing: Invoices will be issued as specified in the Project Agreement - typically upon project commencement, at defined milestones, or on a recurring monthly basis for retainer services.
• Due dates: Payment is due within 7 days of the invoice date unless otherwise stated. Monthly retainer fees are due on or before the first day of each service month.
• Advance payment: Project-based work typically requires a 50% advance payment before work commences, with the remaining 50% due upon project completion.
• Late payments: Overdue invoices may attract a late payment fee of 2% per month on the outstanding amount. We reserve the right to suspend services for accounts with overdue balances.
• Refunds: Refunds are not provided for completed work or for retainer periods already commenced. Refund requests for advance payments will be assessed on a case-by-case basis.

All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise.

Upon receipt of full payment, ownership of all custom deliverables created specifically for the Client (such as website designs, written content, and creative assets) transfers to the Client.

Acutus Digital Dynamics retains ownership of all methodologies, frameworks, tools, templates, processes, and pre-existing intellectual property used to create the deliverables. We also retain the right to display completed work in our portfolio and for promotional purposes, unless the Client requests confidentiality in writing.

Third-party software, plugins, stock imagery, or licensed assets incorporated into deliverables remain subject to their respective third-party licences. The Client is responsible for maintaining any required third-party licences post-handover.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement ("Confidential Information"). This includes, but is not limited to, business strategies, customer data, financial information, and marketing plans.

Neither party shall disclose the other's Confidential Information to any third party without prior written consent, except as required by law or as necessary to deliver the agreed services (e.g., sharing access credentials with a sub-contractor under confidentiality obligation).

These confidentiality obligations survive the termination of any Project Agreement for a period of two (2) years.

To the maximum extent permitted by applicable law, Acutus Digital Dynamics shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use our services.
• Loss of revenue, profit, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
• Third-party actions, platform policy changes (e.g., Google algorithm updates), or market conditions that affect campaign performance.
• Errors, omissions, or inaccuracies in content provided by the Client.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

We do not guarantee specific search engine rankings, advertising results, or lead volumes. Digital marketing outcomes depend on many factors beyond our control.

Either party may terminate a Project Agreement or retainer engagement with 30 days' written notice to the other party.

We reserve the right to terminate services immediately, without notice, if:

• You materially breach these Terms and fail to remedy the breach within 7 days of written notice.
• You fail to make payment and do not rectify within 14 days of the due date.
• We have reason to believe you are using our services for any unlawful or unethical purpose.

Upon termination, all outstanding invoices become immediately due and payable. We will provide all completed deliverables for which full payment has been received.

You agree to indemnify, defend, and hold harmless Acutus Digital Dynamics and its directors, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of our services in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content, information, or materials you provide to us that infringes a third party's intellectual property or other rights.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, it shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India.

Entire Agreement: These Terms, together with any applicable Project Agreement, constitute the entire agreement between you and Acutus Digital Dynamics with respect to the services and supersede all prior discussions and agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity.
